1. ELIGIBILITY: Sperian’s $250,000 K Promotion (“Promotion”) is comprised of an individual Trade Promotion Instant Win Game (“Game) relating to particular prizes as identified below in Paragraph 3. Participation in the Promotion is open only to legal residents of the 50 United States, and the District of Columbia (excluding Puerto Rico) and Canada who are at least 18 years old or have reached the age of majority in their state or province of residence (whichever is older) at the start of the Promotion Period and who are authorized Sperian Distributors who are currently, legally authorized to sell and distribute Sperian Protection products. Employees, officers and directors of Sperian Protection (“Sponsor”), KS Promotions, Inc. (“KSP”) (and their immediate family members, regardless of where they live and those living in the same household whether or not related) of Sponsor, its parents, affiliates, subsidiaries, and advertising and promotion agencies are not eligible to participate in this Promotion. By participating you agree to these Official Rules and the decisions of Sponsor and KS Promotions, Inc. the Game Administrator which are final and binding in all respects. Void where prohibited. 2. HOW TO PARTICIPATE: Promotion starts at 12:00:01 a.m. Pacific Time (“PT”) on or about 4/1/08 and ends at 11:59:59 p.m. PT on 7/31/08 (“Promotion Period”). Prior to the Promotion Period, you will receive a box of game pieces. These game pieces (“Pieces”) will be used for you to pass out to firefighters in your designated distribution area once they have tried on the Warrior, a new generation SCBA from Sperian. Each of the Pieces will contain a unique 6-digit alphanumeric Game Code ("Game Code"). This Game Code must be used by the firefighter to enter the Game online, atwww.SperianFire.com. You may only give Game Pieces to individuals who are authorized Firefighters in your distribution area; and you can not enter a Game Code at the Web site. There is a limit of one Game Code which you may give per Firefighter. If a Game winner is selected in the Firefighter Version of the Game and they are not an authorized firefighter, that distributor will not receive a matching prize as indicated in these rules. If the eligible, verified firefighter has input your name as the distributor on their Game entry and their unique Game Code is a winner , you will receive the same prize received by the firefighter (except the $250k prize for which distributor will receive a five Star Trip for two as outlined below), subject to verification of your eligibility and compliance with these Official Rules. Sponsor reserves the right to investigate or verify eligibility of Distributor potential winners and corresponding Firefighters. Releasees, as defined below, have no liability or responsibility for lost, late, misdirected, incomplete, illegible, postage due or non-delivered entries, mail or email; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, failures, programming, connections, availability or garbled or jumbled transmissions, or service provider/Internet/web site/use net accessibility or availability, traffic congestion, or unauthorized human intervention, or the incorrect or inaccurate capture of entry, Code, or other information or the failure to capture, or loss of, any such information. Once submitted an entry cannot be deleted or modified. All entries submitted become the property of Sponsor and will not be returned. 3. PRIZES/VALUES (STATED IN U.S. DOLLARS)/ODDS OF WINNING: A Prize for Distributor that is the same Prize won by Distributor’s Firefighter (“Prize”). Prizes Offered in the Sperian $250k Promotion: (1) Grand Prize: If firefighter wins $250k Prize then distributor will win $6000 awarded in the form of a gift certificate valid at a travel agency or travel services provider selected by Sponsor to be used by winner and winner’s guest(s) for trip to Hawaii or any other destination of winner’s choice (subject to the approval of Sponsor which may be withheld for any reason). Approximate Retail Value not to exceed $6000.
Odds of winning depend upon number of firefighter participants for which odds are listed above. For trip prize: A trip for two (2) to Maui, Hawaii. Trip consists of round trip coach air travel for two from a major commercial airport near winner’s residence to Maui, HI; 7 days/6 night stay at The Ritz Carlton Kapalua (double occupancy); Mid-size car rental for 7 days; One activity of winners choice for two people (Activities include tours, theater performances, biking, luaus, snorkeling, and more and are subject to availability); $250 food and beverage credit and $300 spending cash. (ARV $6000). Trip must be booked at least thirty days in advance and used within one year of date awarded. Winner and guest must travel on the same itinerary. If winner and guest cannot travel on the dates specified by the Sponsor, the prize will be forfeited and an alternate winner will be selected. Blackout dates and restrictions for air travel may apply. All travel arrangements must be made through Sponsor. Winner will be responsible for obtaining all necessary insurance, and is responsible for all gratuities, meals, ground transportation, and any other incidental costs or expenses not identified in these rules. Approximate retail value of prize package may vary, depending on the point The actual value of trip may differ from the value stated and any difference between the stated value and actual value will not be awarded. If winner is a minor in his/her jurisdiction of residence he/she must travel with his/her parent/legal guardian. Travel and accommodations are subject to availability, change, restrictions, and black-out periods may apply. Winner and guest(s) must travel on the same itinerary and comply with all security requirements. For ATV: Vehicle will be delivered with standard equipment for make and model; all upgrades and options are at the sole cost of winner. Winner may not have choice of color. Title, taxes, registration, license, and similar fees, and insurance, and all costs of operating and enjoying prize are at the sole cost and expense of winner. Winner may be required to show proof of currently valid driver’s license and insurance prior to taking delivery. If the winner is an unlicensed minor, the vehicle may be awarded in the name of, or to, that minor’s parent/legal guardian, provided, the parent/legal guardian shows proof of a current driver’s license and insurance and otherwise complies with these Official Rules. Prize will be delivered to a dealer near winner’s residence (as determined by Sponsor) in the 50 United States/DC or Canada and if winner does not pick up prize within 30 days of delivery notice prize may be forfeited and awarded to an alternate winner. Vehicle will be delivered solely with the express limited warranties set forth in the vehicle’s Owner’s Guide, which warranties shall run for the term set forth in the said Guide. Sponsor in its sole discretion may elect to substitute a 2009 vehicle of the same or like model and style in the event of scarcity due to limited production or unavailability for any other reason For Gift Card Prizes: Gift Cards are subject to the terms and conditions of each issuer’s respective Gift Card Policy. Restrictions may apply and depend on gift card issuer. Cards that are for retailers that have both physical locations and on-line Web site locations may be used at either. For specific terms and conditions of any gift card see the card issuers Web site. Prize Restrictions For All Prizes: Prizes will only be awarded in conformity with Distributors policy regarding participating in, and accepting prizes in, trade promotions. Expenses not stated are solely the responsibility of the winner. No substitution, cash redemption or transfer of prize allowed, but Sponsor reserves right to substitute a prize with a prize of comparable or greater value if the advertised prize becomes unavailable. If a winner cannot accept prize as stated prize may be forfeited in its entirety and awarded to an alternate winner via random draw from all authorized Sperian distributors.. If a winner is not of the age of majority in his/her jurisdiction of residence, prize may be awarded in the name of or to parent or legal guardian (as solely determined by Sponsor) who must agree to all undertakings and execute all documents of winner set forth in these Official Rules both on behalf of himself/herself and winner or winner may be disqualified and prize will be awarded to an alternate winner. Taxes, for any prize, are solely the responsibility of the winner of that prize. For Canadian Residents: If the potential winner is a resident of Canada, in order to be declared a winner, he or she must first correctly answer a 4-function mathematical skill-testing question within 5 minutes without assistance of any kind, whether mechanical or otherwise. The skill test will be administered by phone or mail or as otherwise determined by Sponsor. If the potential winner cannot be contacted and the skill test administered within (3) business days of receipt of Certification & Release by KSP or the skill testing question is incorrectly answered, the prize will be forfeited. 4. GENERAL CONDITIONS: Potential Distributor Winner who distributed game card to winning firefighter , will be notified by Sponsor or KSP and will be required to complete, execute and return an Affidavit (Certification in Canada) of Eligibility, a Liability Release, and unless prohibited by law, a Publicity Release within seven (7) business days of notification. Non-compliance, failure to return documents timely, or if prize notification or prize is returned as non-deliverable, or if a potential winner otherwise fails to comply with the Official Rules, will result in disqualification. Trip Prize Winner’s travel companion must complete, sign and return a Liability Release and unless prohibited by law, a Publicity Release prior to issuance of travel documents; and if travel companion is a minor, all applicable Releases must be executed by minor’s parent/legal guardian who must accompany minor on the Trip. Each winner grants to Sponsor Game(which grant must be confirmed in writing on request of Sponsor) and those acting pursuant to the authority of Sponsor, the right in perpetuity to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, including but not limited to on the World Wide Web and Internet, at any time or times, the winner's name, portrait, picture, voice, likeness and biographical information for advertising and promotional, and trade purposes without additional consideration (unless prohibited by law) or notification, approval or review. Sponsor and KSP reserve the right, at their sole discretion, to disqualify any individual found to be (a) tampering with the entry process or the operation of the Promotion, operation of the Game or the Web site; (b) in violation of the Terms of Service, or any other requirements of the Web site; (c) acting in violation of these Official Rules; or (d) acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any use of robotic, automatic, macro, programmed, third party, or like entry methods will void all such entries, and any participant using any such method will be disqualified. Game Affected Releasees, as defined below, may seek damages and all other remedies available to them to the fullest extent permitted by law in the event of any fraudulent activities. 5. RELEASE/LIMITATIONS OF LIABILITY: . By participating, participants release and agree to hold harmless the Sponsor, KSP, their respective advertising and promotion agencies, and all of their respective directors, officers, employees, representatives and agents (individually and collectively “Releasees”) from any and all, liability for any losses and damages of any kind (whether due to negligence or otherwise), for any injuries, loss or damage of any kind to person(s), including death or disability, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a prize, or participation in any Promotion or travel related activity, or participation in this Promotion. Releasees are not responsible for any incorrect or inaccurate information, whether caused by Web site users, or tampering or hacking, or by any of the equipment or programming associated with or utilized in the Promotion, and assume no responsibility for any error (human, digital or mechanical), omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Web site. Releasees are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Promotion or downloading materials from or use of the Web site. If, for any reason as solely determined by Sponsor, this Promotion, or any part thereof, is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failure, or any other causes which, in the sole opinion of Sponsor or KSP , could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion and award the prizes as Sponsor deems fair and appropriate, if possible. . Sponsor and/ or KSP, however, reserve the right, in their sole discretion, to address an Internet raised or related issue in any manner they deem fair and appropriate. Releasees shall be liable a winner or any other person for failure to supply the prize or any part thereof, by reason of any acts of God, equipment failure, terrorist acts, labor dispute or action of any kind (whether legal or illegal), transportation interruption of any kind, civil disturbance of any kind or any other cause beyond Sponsor’s control. In no event will RELEASEES be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential or punitive damages arising out of your access to and use of the web site or downloading from and/or printing material downloaded from said web site. Without limiting the foregoing, everything on this web site is provided “as is” without warranty of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose or non-infringement. Some jurisdictions may not allow limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties, so some of the above limitations or exclusions may not apply to you. DISPUTE RESOLUTION /CHOICE OF LAW: The Promotion is governed by the laws of the State of Rhode Island, without regard to conflict of law doctrine, with venue in Smithfield, and all claims must be resolved in Smithfield, Rhode Island. For Residents Of Quebec, Canada only: Any litigation respecting the conduct or organization of the Game may be submitted to the Regie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Regie only for the purpose of helping the parties reach a settlement. 7. PRIVACY: All entry and other information collected in this Promotion is subject to Sponsor’s Privacy Policy located at www.sperianprotection.com. 8.
